The firm advised Promigas S.A. E.S.P., a Colombian listed company in a spin-off by virtue of which such company transferred its stockownership in Sociedad de Inversiones en Energía S.A., SIE, to a new company called Proenergía Internacional S.A. Promigas owned 52.66% of SIE, corporation that controls two leading companies in the Colombian natural gas and retail fuel markets: Organización Terpel S.A. and Gazel S.A. Each Promigas shareholder received an equivalent stake in Proenergía. This transaction was performed in July 2009.

The firm structured the integration of the seven Terpel companies into Organización Terpel, through a contribution in kind scheme. As a result of the operation held in 2004, today this company is one of the largest in Colombia for its level of sales and, the number one in fuel distribution in the country.

We were the legal advisers in the reorganization process of companies controlled by Valores Bavaria, that was held for specialization by areas of business, through the multiple spin-offs of four companies with assets valued in US$1.1 billion dollars approximately. This operation was held in 2003.

We advised Organización Luis Carlos Sarmiento Angulo in the successful reorganization process carried out by the company in 2002. Such process regrouped 54 companies into 9 new companies through a multiple spin-off. In this process the firm Parra Rodríguez & Cavelier participated as advisor in tax law.
