Advise to Promigas S.A. E.S.P., in the spin-off by virtue of which such company transferred 52.66% of  Sociedad de Inversiones en Energía S.A., SIE, to a new company called Proenergía Internacional S.A

2008

Invernac & CÍA S.C.A

We advised Invernac & CÍA S.C.A in a spin-off process through which the company transferred a percentage of its equity capital to a new company called Maxus S.A. As a result of the spin-off, those corporate and natural persons that were minority shareholder’s of Invernac, received stocks from Maxus S.A. in a percentage proportional to that which they owned in Invernac’s corporate equity.

Fundación BBVA para las Microfinanzas (España) - Corporación Mundial de la Mujer – Colombia y Corporación Mundial de la Mujer – Medellín.

We advised Fundación BBVA para las Microfinanzas (Spain) in its strategic alliance with two experienced non-governmental organizations, Corporación Mundial de la Mujer – Colombia and Corporación Mundial de la Mujer – Medellín, for the constitution of Bancamía, a bank dedicated to micro credit.

BRC Investor Services

We advised BRC Investor Services in the process of negotiating a strategic alliance with Moody’s Investor Services, according to which the latter will provide assistance and training services to BRC, and in return, BRC will provide Moody’s with the possibility of becoming shareholder.
